SWEAGRO – TERMS & CONDITIONS

These Terms & Conditions constitute the complete and legally binding agreement governing all sales of spare parts and wear parts, as well as the rental and sale of agricultural machinery, between GuNiMek AB – sweagro and its customers.

All products and services are offered exclusively to business customers.

 

SECTION 1 – SPARE PARTS & WEAR PARTS

1. Applicability

These terms apply to all purchases of spare parts and wear parts from GuNiMek AB – sweagro. By placing an order, the customer confirms that the purchase is made in the course of business activities.

Orders become binding upon written order confirmation.

 

2. Products and Specifications

Product descriptions, images, weights, dimensions and technical data are indicative. Minor deviations caused by technical development, supplier changes or logistics do not constitute defects provided that functionality is not affected.

 

3. Prices and Payment

Prices are stated in SEK, EUR or NOK, excluding VAT unless otherwise stated. Applicable VAT, freight, packaging and fees are shown prior to order confirmation.

Payment for spare parts may be processed via third-party payment or financing partners or by invoice, depending on the selected payment method.

Payment is charged when the product is dispatched from Sweagro’s own warehouse or directly from a supplier.

Late payments incur statutory interest, reminder fees and may be forwarded to debt collection.

 

4. Delivery and Transfer of Risk

Orders are normally dispatched within 1–5 business days from order confirmation, depending on product availability and selected delivery method.

Goods weighing over 30 kg are always shipped on pallet via freight carrier.

Delivery is made to the address specified by the customer. Risk transfers to the customer upon handover to the carrier or upon unloading.

 

5. Returns and Return Address

Returns require prior written approval from Sweagro and must be requested within 10 calendar days from delivery.

Approved returns must be unused and in original condition.

If Sweagro is responsible for the error, return freight is covered by Sweagro. Otherwise, the customer bears all return and handling costs.

6. Warranty and Complaints

A 12-month warranty from delivery applies to spare parts and wear parts, covering manufacturing defects.

The warranty does not cover normal wear, consumables, incorrect installation, misuse or improper handling.

Visible defects must be reported within 7 working days from delivery. Hidden defects must be reported within 7 working days from discovery.

 

7. Limitation of Liability

Sweagro’s liability is limited to repair or replacement of the defective product or refund of the purchase price. Liability for indirect or consequential losses, loss of profit or production downtime is excluded.

 

8. Retention of Title

Goods remain the property of Sweagro until full payment has been received.

 

SECTION 2 – MACHINERY RENTALS & SALES (GUNI BRAND)

All machinery under the GUNI brand, including GUNICULT, is sold and rented exclusively to business customers and handled directly by GuNiMek AB – sweagro. No third-party payment or marketplace is involved.

 

1. Applicability

These terms apply to all rentals and sales of GUNI machinery. Orders are binding upon written confirmation.

 

2. Use and Maintenance

Machines may only be used for their intended agricultural purpose by qualified personnel. The customer is responsible for daily inspections, operation, care and maintenance during the rental period.

 

3. Delivery and Return

Machines are delivered in folded transport position.

The customer is responsible for unloading, setup and return using lifting equipment capable of handling at least 1,800 kg.

Machines must be returned folded, fully cleaned and free from soil, crop residue and debris. Cleaning, damage or abnormal wear will be invoiced.

 

4. Rental Period, Payment and Purchase Option

The rental period and pricing are defined in the quotation and prepaid in full, including round-trip transport unless otherwise agreed.

After the rental period, the customer has 10 calendar days to confirm whether the machine will be returned or purchased.

If no response is received, the rental shall be deemed acceptance of purchase, and Sweagro will invoice the remaining purchase price, deducting prepaid rental and freight.

 

5. Recovery of Equipment

If the customer fails to pay, is unreachable or deliberately avoids contact, Sweagro reserves the right to recover the machine at the customer’s expense.

Recovery will be carried out using crane truck. All recovery costs, typically SEK 1,500–2,000 per hour plus VAT, will be invoiced.

Recovered equipment will be returned to Sweagro’s facility in Ljungsbro, Sweden.

 

6. Customer Liability

The customer is fully liable for loss, theft or damage beyond normal wear. Repairs may only be carried out with Sweagro’s written approval and using original parts.

 

7. Retention of Title

All rented and sold machinery remains Sweagro’s property until full payment has been received.

 

GENERAL PROVISIONS

Governing Law and Jurisdiction

Swedish law applies. Any disputes shall be settled by Linköping District Court, Sweden.

 

GDPR – Personal Data

Sweagro processes personal data in accordance with GDPR for contract management, invoicing, delivery and service. The full privacy policy is available at www.sweagro.com.
